SECTION 3 - SCOPE OF WORK & DELIVERABLES

The Contractor agrees to perform the following photography/videography services on behalf of Amora Wedding Co | Steele Photography. All work product, including but not limited to digital files, edited images, raw files (if applicable), albums, prints, and any other deliverables (collectively "Work Product") shall be delivered as specified below.

SECTION 5 - INVOICE SUBMISSION & PAY APPROVAL PROCESS

Payment to the Contractor is contingent upon successful completion of all deliverables as outlined in Section 3 and proper invoice submission.

Step 1 - File Submission: Contractor uploads and submits all final, edited project files to the designated transfer platform.

Step 2 - Quality Review: The Creative Director or designated reviewer will inspect submitted files within 3-5 business days. Revision turnaround shall not exceed 72 hours unless otherwise agreed.

Step 3 - Invoice Submission: Upon quality approval, Contractor shall submit a written invoice referencing this contract number, event date(s), and itemized services rendered.

Step 4 - Director Approval: The Director reviews and countersigns the invoice. Approval must be co-signed by the Director's Creative Assistant before payment is released.

Step 5 - Payment Release: Payment will be processed within the agreed payment terms from the date of dual-approval.

SECTION 6 - LEGAL TERMS & CONDITIONS (STATE OF TEXAS)

6.1 Independent Contractor Status

The Contractor is an independent contractor and not an employee, agent, partner, or joint venturer of Amora Wedding Co | Steele Photography. The Contractor is solely responsible for all federal, state, and local taxes arising from compensation paid hereunder. The Company shall issue IRS Form 1099-NEC for payments totaling $600 or more in a calendar year.

6.2 Intellectual Property & Work Product

All Work Product created by the Contractor in performance of services under this Agreement shall be considered a "work made for hire" to the fullest extent permissible under 17 U.S.C. Section 101. To the extent any Work Product does not qualify as a work made for hire, the Contractor irrevocably assigns all right, title, and interest to Amora Wedding Co | Steele Photography.

6.3 Confidentiality

The Contractor agrees to keep confidential all client information, business practices, pricing, trade secrets, and proprietary information of Amora Wedding Co | Steele Photography and its clients. This obligation survives termination for three (3) years.

6.4 Non-Solicitation

During the term of this Agreement and for twelve (12) months thereafter, the Contractor shall not directly or indirectly solicit, contact, or accept work from any client, customer, or vendor introduced through Amora Wedding Co | Steele Photography without prior written consent.

6.5 Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the State of Texas. Any dispute shall first be subject to good-faith mediation. If mediation fails, disputes shall be resolved by binding arbitration in Texas. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

6.6 Limitation of Liability

Neither party shall be liable for indirect, incidental, special, or consequential damages. The Company's total liability shall not exceed the total compensation paid or owed under this Agreement.

6.7 Termination

Either party may terminate this Agreement with fourteen (14) days written notice. The Company may terminate immediately for cause, including breach of confidentiality, failure to deliver Work Product, or conduct damaging to the Company's reputation.

6.8 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond reasonable control, including natural disasters, civil unrest, pandemic, or government actions.

6.9 Entire Agreement & Amendments

This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings. Amendments must be in writing and signed by authorized representatives of both parties.

SECTION 7 - ACKNOWLEDGMENT & SIGNATURES

By signing below, all parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions of this Independent Contractor Agreement.
